7. Payment Terms
If you purchase paid services from Ascylla, you agree to pay all applicable fees as described in the relevant order form or agreement. Fees are quoted and payable in US Dollars. Payment is due within 30 days of invoice date. All fees are non-refundable unless otherwise specified in writing.
8. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the engagement. This obligation survives the termination of these Terms.
9. Limitation of Liability
To the maximum extent permitted by law, Ascylla's total liability arising out of or in connection with these Terms or the use of our services shall not exceed the total amount paid by you to Ascylla during the twelve (12) months preceding the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Ascylla LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of your use of our services or your violation of these Terms.
11. Termination
Either party may terminate the service relationship by providing 30 days' written notice. Ascylla reserves the right to suspend or terminate your access immediately if you breach these Terms. Upon termination, your right to access our services will cease and any outstanding fees become immediately due.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States.
13. Changes to These Terms
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of our services after changes are posted constitutes your acceptance of the revised Terms.
